Terms of Use

The conditions governing access to our website, the information you submit, and your use of our online services.

At a glance

This website supports business enquiries, inventory submissions, and sourcing discussions. A listing, submission, account, or automated response does not by itself establish a purchase, sale, reservation, or other commercial commitment. Transactions require separately agreed terms.

1. Scope and Acceptance

These Terms of Use apply to factoryliquidators.com and the online services provided through it by Factory Liquidators (“we,” “us,” or “our”). They govern website use and do not replace a separate agreement governing a particular transaction or service.

Where a feature requires you to accept these terms, you must do so before using that feature. If you do not agree, do not create an account or submit information through that feature. Contact us directly if you need clarification.

2. Business Use and Authority

Our services are intended for lawful business and wholesale trade. You must have the legal capacity to enter into an agreement. If you act for a company or another person, you must have authority to provide information and make commitments on their behalf.

3. Enquiries and Commercial Commitments

Unless expressly stated in an applicable agreement, they do not constitute a binding offer, acceptance, inventory reservation, credit approval, or guarantee of availability.

Submitting a form, creating an account, or receiving an acknowledgement does not by itself create an order, appoint us as your agent, or establish an entitlement to payment or commission.

A binding transaction requires agreement on its material terms by parties with appropriate authority. Those terms may address product specifications, condition, quantity, price, inspection, payment, freight, delivery, taxes, duties, risk, title, and any applicable warranties or remedies. Agreements may be concluded electronically where permitted by law.

If these website terms conflict with an agreement governing a specific transaction, that agreement takes precedence for that transaction.

4. Listings and Due Diligence

Inventory, pricing, specifications, and availability may change. Some information comes from suppliers, buyers, or other third parties and may not have been independently verified.

Before committing to a transaction, confirm the information material to your decision, including the identity and authority of the counterparty, ownership, product condition, suitability, regulatory requirements, delivery arrangements, and payment instructions. Any inspection or verification we undertake must be defined in the applicable agreement.

Website content does not guarantee a successful match, transaction, resale value, margin, or profit. Product warranties and transaction remedies are governed by the applicable agreement and law.

5. Accounts and Access Security

Keep your account credentials and private access links secure. Do not share them with unauthorized persons or access another person’s account without permission.

Notify us promptly if you suspect unauthorized access or misuse. You are responsible for activity you authorize through your account; responsibility for unauthorized activity depends on the circumstances and applicable law.

Choosing such a feature may send the source material to an external AI service provider, as explained in our Privacy Policy and the relevant submission notice. If AI processing is unavailable, you can continue without AI. You can also contact our team directly.

AI-generated information can be incomplete or incorrect. Review and correct it before submission or reliance. An AI-generated description, classification, or response is not independent verification, professional advice, or acceptance of a transaction.

8. Acceptable Use

You must not use the website to:

  • Submit fraudulent, misleading, or unlawfully obtained information.
  • Offer stolen goods or goods whose sale would violate applicable law.
  • Infringe intellectual property, privacy, or other legal rights.
  • Upload malicious software or attempt unauthorized access.
  • Bypass access restrictions or interfere with website security.
  • Overload the service or collect private information without authorization.

We may restrict or suspend access where reasonably necessary to address a security risk, suspected unlawful conduct, or a material breach of these terms. Where appropriate, we may request clarification or correction before restoring access.

Restricting website access does not automatically cancel a separate transaction agreement or remove rights and obligations that already exist. Privacy requests may still be sent to our contact address.

14. Privacy

Our Privacy Policy explains how we handle personal information, including account details, submissions, service providers, optional AI processing, and privacy requests. Acceptance of these terms is not blanket consent to unrelated uses of personal information.

15. Changes to These Terms

We may update these terms as our website and services develop. Changes apply prospectively and do not amend an existing transaction agreement without the agreement required by that contract and law. Where renewed acceptance or notice is required, we will seek it before applying the relevant change.

16. General Provisions

If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in exercising a right does not by itself waive that right. These terms do not remove mandatory protections or remedies available under applicable law.
